Terms of Service

1. Acceptance of Terms

By accessing or using BastionAI ("the Service," "we," "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that you are 18 or older and have the legal capacity to enter into a binding agreement.

These Terms constitute a legally binding agreement between you and BastionAI. We reserve the right to update these Terms at any time. Material changes will be communicated via the Service or email. Continued use after changes constitutes acceptance.

2. Eligibility and Jurisdiction Compliance

Access to certain features of the Service may be restricted in certain jurisdictions. BastionAI uses Polymarket's own geolocation API to determine whether trading services are available in your region. This check reflects Polymarket's current access policies and is performed using your real IP address at the time of use.

By using the Service, you represent and warrant that:

• You are not located in, or a resident of, any jurisdiction where participation in prediction markets or copy trading is prohibited, restricted, or requires a license not held by BastionAI.
• Your use of the Service does not violate any applicable law, regulation, or rule in your jurisdiction.
• You are not subject to any sanctions, embargoes, or other legal restrictions that would prevent you from using the Service.
• You are not using the Service on behalf of any sanctioned individual, entity, or government.

3. Not Financial, Legal, or Investment Advice

• All content on the Service is for informational purposes only.
• Nothing on the Service constitutes a solicitation, recommendation, endorsement, or offer to buy or sell any investment.
• Bot performance data reflects past results and is not predictive of future returns.
• You should consult with qualified legal, financial, and tax professionals before making any decisions based on information from the Service.
• BastionAI is not registered as an investment adviser, broker-dealer, or money transmitter in any jurisdiction.

4. Safe Wallet Architecture

BastionAI uses Gnosis Safe smart contract wallets ("Safe") to manage copy trading funds. When you complete wallet setup:

• A Gnosis Safe smart contract is deployed on Polygon using your connected wallet address.
• BastionAI holds a co-owner key on your Safe (threshold=1) to execute trades on your behalf. You are also an owner and can independently execute withdrawals at any time from MetaMask.
• BastionAI's co-owner key is used only for copy-trade execution and withdrawals you initiate through the platform. By accepting these Terms, you authorize BastionAI to use this key solely for those purposes.
• You can revoke BastionAI's trading access at any time from wallet settings, which removes BastionAI's co-owner key and leaves you as the sole owner of your Safe.
• Funds are never pooled — each user has their own unique Safe address on-chain.
• You are responsible for maintaining access to your wallet. BastionAI cannot recover funds if you lose access to your wallet's private key or seed phrase.

By using the Service, you acknowledge that blockchain transactions are irreversible. BastionAI is not liable for any loss resulting from incorrect wallet addresses, blockchain errors, smart contract bugs, or actions taken by the Gnosis Safe protocol.

5. Auto-Mirror (Copy Trading) Terms

By using the Auto-Mirror feature, you acknowledge and agree that:

• You are making your own trading decision. Selecting a bot to copy is your sole decision. BastionAI does not recommend or endorse any specific bot.
• Execution is not guaranteed at the bot's price. There may be delays, slippage, or market movement between when the bot trades and when your copy trade executes. Your result may differ materially from the bot's result.
• BastionAI does not operate, own, or control the bots. Bots are independent third-party wallets identified algorithmically. We do not verify their identity, strategy, or ongoing activity.
• The bot may stop trading, change strategy, or perform poorly at any time with no notice. BastionAI is not liable for any such changes.
• Trades execute through Polymarket's CLOB API. Polymarket is a third-party service. BastionAI is not liable for Polymarket outages, market closures, or changes to Polymarket's platform or policies.
• You may withdraw unused funds at any time. Funds currently in open positions cannot be withdrawn until those positions are settled or sold.
• A performance fee is charged on profits only. See Section 6 for fee details. No performance fee is charged if you have no profit.

6. Fees

Performance Fees (Copy Trading)

• Performance fee on net profits above your high-water mark, charged at withdrawal: 12% for Starter/Pro, 8% for Elite, 5% for Copy-Maxxer. No profit = no fee.
• 0% deposit fee — no fee to add funds.
• 0% per-trade fee — no fee on individual trades.
• Performance fees are collected via a Gnosis Safe Guard smart contract (BastionFeeGuard) deployed on Polygon. The fee deduction is automatic and on-chain transparent. By setting up a Safe wallet, you authorize this contract to deduct the applicable fee from withdrawal proceeds.
• No refunds are provided on performance fees once collected.

Subscription Fees (Platform Access)

• Starter tier: $0/month
• Pro tier: $29/month
• Elite tier: $99/month
• Copy-Maxxer tier: $249/month or $199/month billed annually
• Subscription fees are non-refundable once a billing period has begun.

7. Bot Performance Data and Third-Party APIs

Bot performance data is derived from publicly available blockchain data and Polymarket's public APIs. BastionAI does not create, curate, or manipulate this data, but:

• Data may be delayed, incomplete, or inaccurate.
• Rankings are historical and not predictive of future performance.
• A "bot" designation is an algorithmic estimate based on trading patterns — not a verified or certified designation.
• BastionAI is not liable for inaccuracies in third-party data, API failures, or changes to Polymarket's data access policies.
• The Service is dependent on Polymarket's platform availability. BastionAI is not liable for any losses caused by Polymarket downtime, market suspension, or changes to Polymarket's terms or operations.

8. Smart Contract and Blockchain Risks

The Service involves interactions with smart contracts on the Polygon blockchain. You acknowledge and accept the following risks:

• Smart contracts may contain bugs or vulnerabilities that could result in total loss of funds. BastionAI's contracts have been reviewed internally but have not been audited by a third party.
• Blockchain transactions are irreversible. Errors in wallet addresses or transaction parameters cannot be undone.
• The Polygon network, Gnosis Safe protocol, and Polymarket CLOB may experience outages, forks, or other disruptions beyond BastionAI's control.
• Gas fees (network transaction fees) are paid from your Safe wallet's native token balance. Insufficient native token balance may prevent trade execution or withdrawal.
• USDC.e (bridged USDC) on Polygon is the only supported deposit and withdrawal asset. Sending other tokens to your Safe address is not supported and may result in permanent loss.

9. Prohibited Uses and AML Compliance

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party rights.
• Engage in money laundering, terrorist financing, or any activity prohibited by applicable anti-money laundering (AML) or counter-terrorism financing (CTF) laws.
• Circumvent geographic restrictions using VPNs, proxies, or any IP-masking technology.
• Manipulate markets, engage in wash trading, or use the Service in any way that undermines the integrity of Polymarket or prediction markets.
• Use the Service if you are a sanctioned person or entity.
• Use the Service to process, transfer, or obscure funds derived from illegal activities.
• Reverse engineer, scrape, or attempt to extract proprietary data or algorithms from the Service.

BastionAI reserves the right to suspend or terminate any account suspected of violating this section and to report suspicious activity to relevant authorities as required by law.

12. Indemnification

You agree to indemnify, defend, and hold harmless BastionAI and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of or inability to use the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation, including any jurisdiction-specific trading or prediction market restrictions; (d) your use of a VPN or other technology to circumvent geographic restrictions; (e) any trading losses you incur; or (f) your violation of any rights of a third party.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law provisions.

Binding Arbitration: Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be conducted in English. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Class Action Waiver: You waive any right to participate in a class action lawsuit or class-wide arbitration against BastionAI.

Exception: Either party may seek emergency injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm pending arbitration.

14. Account Termination

BastionAI reserves the right to suspend or terminate your account at any time, with or without notice, for any of the following reasons:

• Violation of these Terms.
• Suspected fraud, money laundering, or other illegal activity.
• Geographic restriction violations.
• Failure to pay subscription fees.
• Any other reason at BastionAI's sole discretion.

Upon termination, BastionAI's co-owner key will be removed from your Safe, and you will retain full control of your Safe wallet and its contents. Termination does not affect your ownership of your Safe or its funds.

15. Changes to Terms

We reserve the right to modify these Terms at any time. For material changes, we will provide at least 14 days' notice via email or a prominent notice on the Service. Your continued use of the Service after the effective date of any changes constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service.

16. Miscellaneous

• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and BastionAI regarding the Service.
• No Waiver: BastionAI's failure to enforce any right or provision of these Terms is not a waiver of that right.
• Assignment: You may not assign your rights under these Terms. BastionAI may assign its rights without restriction.
